1. Agreement to Terms +
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Holistic Growth Marketing, LLC (“we,” “us,” or “our”), concerning your access to and use of our services.
2. Description of Services +
Holistic Growth Marketing provides high-end digital engineering services, specifically:
- Custom Web Architecture & Development
- Technical Search Engine Optimization (SEO)
- Business Intelligence Dashboarding
- Marketing Automation Scripting
3. Intellectual Property Rights +
Client Ownership Protocol — We believe in sovereignty. Upon full payment of all fees, you own the final deliverables (website code, graphics, and content) created specifically for your project. You are not “renting” your website from us.
However, Holistic Growth Marketing retains ownership of:
- Pre-existing code libraries, tools, or frameworks used to build your project.
- Generic automation scripts not specific to your business logic.
- Our own branding and marketing materials.
We grant you a perpetual, non-exclusive, royalty-free license to use these background technologies as part of your final product.
4. Payment Terms +
Unless otherwise stated in a specific Proposal or Statement of Work (SOW):
- Project-Based Work: Requires a 50% deposit to commence work, with the remaining 50% due upon completion or deployment.
- Retainers: Invoices are issued on the 1st of the month and represent Net-15 terms.
- Late Payments: Invoices overdue by more than 30 days may result in a temporary suspension of services until the balance is resolved.
5. Limitation of Liability +
In no event will we be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services.
6. Third-Party Tools +
Our services often integrate with third-party tools (e.g., Google Analytics, CRM software, Hosting Providers). We are not responsible for service outages, data breaches, or policy changes enacted by these third-party platforms.
7. Governing Law +
These Terms shall be governed by and defined following the laws of the State of California. Holistic Growth Marketing, LLC and yourself irrevocably consent that the courts of California shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
